Conditions for Participation

This agreement is made by and between Wizard Lizard LLC and the insurance agent or broker (hereinafter “producer”) who is shown and listed on the EZBuy Producer Sign Up webpage and is effective the date and time stamp of electronic acceptance or by wet signature. The producer has reviewed, approves and accepts the EZBuy web based process developed by Wizard Lizard LLC and desires to use EZBuy as a viable and valid method for gathering and conveying information, signatures and payments needed to produce and complete insurance applications. The producer approves and accepts the use of electronic signatures (e-signatures) by prospective customers as a valid substitute for handwritten signatures on all insurance acknowledgements, applications, forms, disclosures, exclusions and waivers generated through the EZBuy system and needed for insurance submissions to the insurance carrier. Producer takes sole and complete responsibility for learning and following the proper procedures and guidelines needed for electronic signatures (e-signatures) to be valid. Producer takes sole and complete responsibility for the selection, use, content and effectiveness of all forms, disclosures and required notifications as well as the assignment of all signature points on such forms, disclosures and required notifications appearing on EZBuy. Producer takes sole and complete responsibility for the resulting electronic signature (e-signature) and that it will satisfy any and all signature requirements, statutory and otherwise, in order for those forms, disclosures and required notifications to be valid and enforceable. The producer approves and accepts the resulting electronic EZBuy records and reports as a valid history for deal activity. The producer acknowledges that EZBuy provides only a service that facilitates the collection of signatures and payment needed for an insurance sale and that EZBuy does not transact insurance on behalf of anyone, does not validate information conveyed or rate or bind insurance coverage on behalf of a consumer, producer or insurance carrier. The producer understands that they are solely responsible for validating all information processed through EZBuy, following any and all binding procedure(s) as dictated by a respective insurance carrier and confirming that insurance coverage has been properly bound and in force. The producer acknowledges that EZBuy makes no warranties as to the accuracy of the information input by either the insurance producer or customer. The producer acknowledges that it is solely responsible for requesting, obtaining and providing any supplemental or supporting documentation that may be desired by the insurance carrier for an insurance application including (but not limited to) copies of MVRs, copies of vehicle registrations, copies of driver’s licenses, police reports, inspections, photos, proof of prior insurance and any other documentation required for accurate insurance pricing or insurance discounts.

IMPORTANT ADHERENCE TO INSURANCE CARRIER GUIDELINES AND PROCEDURES

Producer agrees that they are solely responsible, jointly and severally, for the confidentiality and protection of their respective ID, user names and passwords that allows them access to the EZBuy system.

The producer holds harmless Wizard Lizard LLC, its officers, directors, employees, agents, subsidiaries, affiliates, business partners, successors, assignees, heirs and survivors for any and all information, content, text, or errors contained in an insurance carrier’s or producer’s applications, forms, disclosures, exclusions and waivers shown and used in EZBuy as well as for any and all insurance regulation compliance, damage to lost revenue, lost profits, punitive actions/damages, adverse occurrences associated with internet connections, speed, compatibility, interruptions, viruses, software, hardware, systems, loss of data, unauthorized users, lost/stolen user ID, passwords, and actions taken against the producer for any reason by any governmental agency, regulatory body, insurance customer or insurance company/carrier. Producer takes full and complete responsibility for the content and effectiveness of any and all specific disclosures selected and used by the producer on EZBuy. The producer acknowledges that EZBuy is intended to be a turnkey system and that Wizard Lizard LLC may act as a reseller for an outside component such as the payment gateway and merchant account included in the EZBuy system and may receive payment from that relationship. Wizard Lizard LLC reserves the right to make final determination as to which carriers, producers or other entities may participate or be included in the EZBuy system.

Producer understands that Wizard Lizard generates income by receiving a pre-determined processing fee from either the insurance producer or the insurance customer for a completed EZBuy deal and that the insurance producer shall make final determination as to whether they elect to pay the EZBuy processing fee or if the insurance customer shall pay the EZBuy processing fee to Wizard Lizard.

Although the producer is encouraged to include EZBuy in its promotions and advertisements, the producer agrees to submit to Wizard Lizard LLC a copy or proof of any print ad, signage, internet, electronic, TV or radio advertisement containing EZBuy in its content for prior approval.

Important - Read Carefully. Notice to User:
This End User License Agreement (“Software License Agreement”) is a legal document between you (producer) and Wizard Lizard LLC. It is important that you read this document before using the EZBuy e-signature software/process (“Software”) and any accompanying documentation, including, without limitation printed materials, ‘online’ files, or electronic documentation (“Documentation”). By clicking the “I agree” contained in this Agreement, or by installing, or otherwise using the Software, you agree to be bound by the terms of this Software License Agreement as well as the Wizard Lizard LLC / EZBuy Privacy Policy (“Privacy Policy”) including, without limitation, the warranty disclaimers, limitation of liability, data use and termination provisions below, whether or not you decide to use the Software. You agree that this agreement is enforceable like any written agreement negotiated and signed by you. If you do not agree, you are not licensed to use the Software, and you must destroy any copies of the Software, downloaded or otherwise, in your possession or control. 1. SOFTWARE LICENSE

(a) License Grant. Upon your acceptance of this Software License Agreement Wizard Lizard LLC grants you a non-exclusive, non-transferable (except as provided below), limited license to install and/or use a copy of the EZBuy Software or process through a co-location site on your compatible computer, up to the Permitted Number of users. The Permitted Number of users shall be delineated at such time as you elect to sign up for the Software. Additional users may be added at any time. You may not distribute or redistribute, sublicense, sell, or transfer to a third party your user access, account number or any other component of EZBuy.

(b) Multiple Users. You may have as many users as you want within your agency or brokerage as long as each user is properly set up with their own unique email address. Only one person can be designated as an individual user and no other person can share the same user designation.

(c) Backup and Archival Copies. You are responsible for making any backup files and archival copy of all your deals and activity conducted through EZBuy, provided your backup and archival copies must contain the original and unmodified copyright, patent and other intellectual property markings that appear on or in the Software.

(d) Upgrades and Updates. If the Software that you have licensed is an upgrade or an update, then the update replaces all or part of the Software previously licensed. The update or upgrade does not constitute the granting of a second license to the Software in that you may not use the upgrade or update in addition to the Software that it is replacing. You agree that use of the upgrade or update terminates your previous license to use the Software or the portion that is being replaced.

(e) Title. Title to the Software is not transferred to you. Ownership of all copies of the Software and process is vested in Wizard Lizard LLC, subject to the rights of use granted to you in this Software License Agreement.

(f) Reverse Engineering. You may not reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, underlying ideas, underlying user interface techniques or algorithms of the Software by any means whatsoever, directly or indirectly, or disclose any of the aforementioned. Any information supplied by Wizard Lizard LLC or obtained by you, as permitted hereunder, may only be used by you for the purpose described herein and may not be disclosed to any third party or used to create any software which is substantially similar to the expression of the Software. Requests for information from users with respect to the above should be directed to the Wizard Lizard LLC Customer Support Department.

(g) Other Restrictions. You may not loan, rent, lease, sublicense, distribute or otherwise transfer all or any portion of the Software to third parties unless expressly provided. You may not copy the Software. You may not modify, adapt or translate the Software. You may not, directly or indirectly, encumber or suffer to exist any lien or security interest on the Software; knowingly take any action that would cause the Software to be placed in the public domain; or use the Software in any computer environment not specified in this Software License Agreement. You will comply with applicable law and Wizard Lizard’s instructions regarding the use of the Software. You agree to notify your employees and agents who may have access to the Software of the restrictions contained in this Software License Agreement and to ensure their compliance with these restrictions. YOU AGREE WIZARD LIZARD LLC IS NOT RESPONSIBLE FOR ANY AND ALL ISSUES THAT MAY ARISE WITH ANY HARDWARE OR OTHER SOFTWARE YOU ARE CURRENTLY USING OR MAY ACQUIRE IN THE FUTURE. YOU ARE SOLELY RESPONSIBLE FOR THE ACCURACY AND ADEQUACY OF THE SOFTWARE FOR YOUR INTENDED USE AND YOU WILL INDEMNIFY AND HOLD HARMLESS WIZARD LIZARD LLC FROM ANY 3RD PARTY SUIT TO THE EXTENT BASED UPON THE ACCURACY AND ADEQUACY OF THE SOFTWARE IN YOUR USE.

2. INTELLECTUAL PROPERTY RIGHTS

Acknowledgement of Wizard Lizard's Rights. You acknowledge that the Software is the intellectual property of and is owned by Wizard Lizard LLC. The structure, organization and code of the Software are the valuable trade secrets and confidential information of Wizard Lizard LLC. You acknowledge that Wizard Lizard LLC retains the ownership of all patents, copyrights, trade secrets, trademarks and other intellectual property rights pertaining to the Software, and that Wizard Lizard’s ownership rights extend to any images, photographs, animations, videos, audio, music, text and “applets” incorporated into the Software and all accompanying printed materials. You will take no actions which adversely affect Wizard Lizard’s intellectual property rights in the Software. Trademarks shall be used in accordance with accepted trademark practice, including identification of trademark owners’ names. Trademarks may only be used to identify printed output produced by the Software, and such use of any trademark does not give you any right of ownership in that trademark. This Software License Agreement does not grant you any intellectual property rights in the Software.

3. LIMITED TRANSFER RIGHTS

You may not transfer the Software License or corresponding rights to use the software to another entity without the prior consent and written approval of Wizard Lizard LLC.

4. NO WARRANTY AND LIMITATION OF LIABILITY

(a) No Other Warranties and Disclaimer. WIZARD LIZARD LLC AND ITS SUPPLIERS DO NOT AND CANNOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE SOFTWARE. WIZARD LIZARD LLC AND ITS SUPPLIERS MAKE NO WARRANTIES, CONDITIONS, REPRESENTATIONS OR TERMS, EXPRESS OR IMPLIED, WHETHER BY STATUTE, COMMON LAW, CUSTOM, USAGE OR OTHERWISE AS TO ANY OTHER MATTERS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WIZARD LIZARD LLC AND ITS SUPPLIERS DISCLAIM ALL OTHER WARRANTIES AND CONDITIONS, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, INFORMATIONAL CONTENT OR ACCURACY, QUIET ENJOYMENT, TITLE AND NON-INFRINGEMENT, WITH REGARD TO THE SOFTWARE, AND THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES.

(b) Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW EVEN IF A REMEDY FAILS ITS ESSENTIAL PURPOSE, IN NO EVENT SHALL WIZARD LIZARD LLC OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, DIRECT, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE OR THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF WIZARD LIZARD LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, WIZARD LIZARD LLC’S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS SOFTWARE LICENSE AGREEMENT SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU UNDER THE EZBuy PRODUCER PARTICIPATION & LICENSE AGREEMENT. Because some states and jurisdictions do not allow the exclusion or limitation of liability, the above limitation may not apply to you. In such states and jurisdictions, Wizard Lizard’s liability shall be limited to the greatest extent permitted by law and the limitations or exclusions of warranties and liability contained herein do not prejudice applicable statutory consumer rights of person acquiring goods otherwise than in the course of business. The disclaimer and limited liability above are fundamental to this Software License Agreement between Wizard Lizard LLC and you.

5. SUPPORT AND MAINTENANCE

You should report any software problem or error directly to Wizard Lizard LLC. Wizard Lizard LLC will make commercially reasonable effort to remedy all service related issues concerning the Software and related functions supplied by Wizard Lizard LLC during normal business hours. Normal business hours are Monday – Friday 9:00AM-5:00PM PST. If Wizard Lizard LLC determines that a reported reproducible material error in the Software exists and significantly impairs the usability and utility of the Software, Wizard Lizard LLC agrees to use reasonable commercial efforts to correct or provide a usable work-around solution in an upcoming maintenance release or update, which is made available at certain times at Wizard Lizard’s sole discretion.

If Wizard Lizard LLC, in its discretion, requests written verification of an error or malfunction discovered by you or requests supporting example files that exhibit the Software problem, you shall promptly provide such verification or files, by email, telecopy, or overnight mail, setting forth in reasonable detail the respects in which the Software fails to perform. You shall use reasonable efforts to cooperate in diagnosis or study of errors. Wizard Lizard LLC may include error corrections in maintenance releases, updates, or new major releases of the Software. Wizard Lizard LLC is not obligated to fix errors that are immaterial. Immaterial errors are those that do not significantly impact use of the Software. Technical support only covers issues or questions resulting directly out of the operation of the Software. Wizard Lizard LLC offers additional technical services, consultation and assistance for other software endeavors at an additional fee.

Updating Software may require the updating of software not covered by this Software License Agreement before installation. Updates of the operating system and application software not specifically covered by this Software License Agreement are your responsibility and will not be provided by Wizard Lizard LLC under this Software License Agreement. Wizard Lizard’s obligations under this section are contingent upon your proper use of the Software and your compliance with the terms and conditions of this Software License Agreement at all times. Wizard Lizard LLC shall be under no obligation to provide the above technical support if, in Wizard Lizard’s opinion, the Software has failed due to the following conditions: (i) alterations, modifications or attempts to change the Software without Wizard Lizard’s written approval; (ii) causes external to the Software, such as natural disasters, the failure or fluctuation of electrical power, or computer equipment damage or failure; (iii) your failure to maintain and properly use the Software at Wizard Lizard’s specified release level; or (iv) the unexpected and unknown affects caused when using the Software with other software. It will be your sole responsibility to: (i) comply with all Wizard Lizard LLC-specified operating and troubleshooting procedures and then notify Wizard Lizard LLC immediately of Software malfunction and provide Wizard Lizard LLC with complete information thereof; (ii) provide for the security of your confidential information; (iii) establish and maintain backup systems and procedures necessary to reconstruct lost or altered files, data or programs.

6. SOFTWARE ACTIVATION, UPDATES, USER & DEAL METERING

(a) User & Deal Metering. The Wizard Lizard LLC EZBuy software has a built-in user and deal metering module that helps track user and deal activity. Wizard Lizard LLC may use your internal network for tracking purposes.

(b) Software Activation. Wizard Lizard’s Software may use your internal network and Internet connection for the purpose of transmitting license-related data at the time of installation, registration or update to a Wizard Lizard LLC-operated license server and validating the authenticity of the license-related data in order to protect Wizard Lizard LLC against unlicensed or illegal use of the Software and to improve customer service. Activation is based on the exchange of license related data between your computer and the Wizard Lizard LLC server. You agree that Wizard Lizard LLC may use these measures and you agree to follow any applicable requirements.

(c) Live Update. Wizard Lizard LLC provides a new Live Update notification to you, which is free of charge. Wizard Lizard LLC may use your internal network and Internet connection for the purpose of transmitting updates to a Wizard Lizard LLC-operated Live Update server to validate your license at appropriate intervals and determine if there is any update available for you.

(d) Use of Data. The terms and conditions of the Privacy Policy are set out in full at www.ezbuyesales.com and are incorporated by reference into this Software License Agreement. By your acceptance of the terms of this Software License Agreement or use of the Software, you authorize the collection, use and disclosure of information collected by Wizard Lizard LLC for the purposes provided for in this Software License Agreement and/or the Privacy Policy as revised from time to time. Wizard Lizard LLC has the right in its sole discretion to amend this provision of the Software License Agreement and/or Privacy Policy at any time. You are encouraged to review the terms of the Privacy Policy as posted on the Wizard Lizard LLC web site from time to time.

7. MODIFICATIONS, TERM AND TERMINATION

Wizard Lizard LLC reserves the right to amend, modify, revise, suspend or immediately terminate this agreement in whole or in part at any time and for any reason. Producer may terminate this agreement at any time upon receipt of a 30 day written notice by Wizard Lizard LLC. Producer agrees that in the event of termination, the producer will return any and all printed manuals and supplies provided directly or indirectly by Wizard Lizard LLC and to immediately cease from offering EZBuy in any form to the general public. In addition the Software License Agreement governing your use of a previous version that you have upgraded or updated of the Software is terminated upon your acceptance of the terms and conditions of the Software License Agreement accompanying such upgrade or update. Upon any termination of the Software License Agreement, you must cease all use of the Software that it governs, destroy all copies then in your possession or control and take such other actions as Wizard Lizard LLC may reasonably request to ensure that no copies of the Software remain in your possession or control. The terms and conditions set forth in Sections 1(g), 2, 5, and 8 survive termination as applicable.

8. GENERAL PROVISIONS

The producer acknowledges and consents that this entire agreement shall be governed by the laws of the State of California and that Orange County shall serve as the designated venue for any and all legal matters arising from this agreement. Any provision contained in this agreement that is determined to be void or unenforceable does not make any of the remaining provisions in the agreement void or unenforceable.

This Software License Agreement contains the entire agreement and understanding of the parties with respect to the subject matter hereof, and supersedes all prior written and oral understandings and agreements of the parties with respect to the subject matter hereof. Any notice or other communication given under this Software License Agreement shall be in writing and shall have been properly given by either of us to the other if sent by certified or registered mail, return receipt requested, or by overnight courier to the address shown on Wizard Lizard’s Web site for Wizard Lizard LLC and the address shown in Wizard Lizard’s records for you, or such other address as the parties may designate by notice given in the manner set forth above. This Software License Agreement will bind and inure to the benefit of the parties and our respective heirs, personal and legal representatives, affiliates, successors and permitted assigns. In the event of a breach or threatened breach of this Software License Agreement by either party, the other shall have all applicable equitable as well as legal remedies. Each party is duly authorized and empowered to enter into and perform this Software License Agreement. If, for any reason, any provision of this Software License Agreement is held invalid or otherwise unenforceable, such invalidity or unenforceability shall not affect the remainder of this Software License Agreement, and this Software License Agreement shall continue in full force and effect to the fullest extent allowed by law.

Exhibit A

Processing Fee Schedule - READ CAREFULLY

Producer will be given a choice on each EZBuy deal as to whether the producer pays for the EZBuy processing fee or the customer pays for the EZBuy processing fee. However, EZBuy can also be defaulted to where the producer pays the processing fee for each and every deal or the customer pays the processing fee for each and every deal. See the Processing Fee Schedule below for more details.

IMPORTANT- Producer takes sole and complete responsibility for selecting the fee schedule to be used on each EZBuy deal and for properly disclosing to the customer the fee that they will be paying prior to the commencement of an EZBuy deal.

Processing Fee Schedule:

1. Producer Pays - The producer (not the customer) will be billed for a processing fee pre-determined and set by Wizard Lizard and payable to Wizard Lizard LLC for each deal completed through EZBuy. “Producer Pays” processing fees will be billed to the producer on a calendar monthly basis for the preceding month. Billing will occur at the beginning of each month for the preceding month’s activity and payment is due from the producer in full to Wizard Lizard LLC by the 15th of the month.
   
   
2. Customer Pays - The insurance customer (not the producer) will be charged a processing fee pre-determined and set by Wizard Lizard for each deal completed through EZBuy. Fee will be paid directly to Wizard Lizard LLC during the payment portion of the EZBuy deal.
   
   
3. Customer Pays to Include Added Producer Processing Fee- The insurance customer (not the producer) will be charged a processing fee pre-determined and set by Wizard Lizard that will be paid directly to Wizard Lizard LLC. Producer may add an additional, pre-determined amount to the Wizard Lizard processing fee that will be paid to the producer as a separate, earned processing fee to the producer. Total fee will be paid directly to Wizard Lizard LLC by the customer during the payment portion of the EZBuy deal. The producer’s portion of all processing fees earned and collected will be calculated and paid to the producer by the 15th of the following month in which the processing fee was collected.
   
   NOTICE - Producer takes sole and complete responsibility for the decision to add a Producer Processing Fee, for knowing if receiving this processing fee is legally allowable per regulatory guidelines and for properly disclosing the fee to the customer per any disclosure regulations. Producer agrees to hold harmless Wizard Lizard LLC for the decision to include a Producer Processing Fee and agrees that Wizard Lizard LLC retains the right to disallow any additional processing fee set by producer.

Note: A deal shall be deemed “completed” and the processing fee will be considered fully earned by Wizard Lizard LLC/EZBuy when the customer has clicked the “Purchase” button on the payment page resulting in a subsequent payment authorization used to complete the EZBuy sale. Wizard Lizard LLC reserves the right to adjust the processing fee retained by Wizard Lizard LLC at any time and for any reason. The producer shall be held ultimately responsible for paying any denied, invalid, uncollected or returned processing fees owed to Wizard Lizard LLC by a customer who otherwise successfully completed the down payment portion of the EZBuy deal.

Conditions for BETA Testing Participation

Producers who are participating in Beta Testing of any EZBuy software may only go “Live” and conduct actual business upon separate written authorization from Wizard Lizard LLC. Once producer goes “Live” producer holds harmless Wizard Lizard LLC, its officers, directors, employees, agents, subsidiaries, affiliates, business partners, successors, assignees, heirs and survivors for any and all errors associated directly or indirectly to flaws or “bugs” remaining in the software and the resulting adverse consequences encountered during the BETA phase.

Payment Gateway To Accept Credit/Debit Cards and E-checks Online

A payment gateway is an e-commerce application service provider service that authorizes payments for e-businesses, online retailers, bricks and clicks, or traditional brick and mortar. It is the equivalent of a physical point of sale terminal located in most retail outlets. Payment gateways encrypt sensitive information, such as credit card numbers, to ensure that information passes securely between the customer and the merchant, in this case the insurance producer. Payments processed through a payment gateway go directly into the merchant account at the insurance producer’s bank.

However, you can use the EZBuy website instead of signing a paper agreement if you agree that any resulting copies can be given to you through the internet after the completion of this agreement online. If you change your mind at any time during this process, you can simply close your Internet session and request a paper copy of this agreement to be executed with a handwritten signature. Your consent to receive this agreement over the Internet is effective for this one online agreement and you will be asked to agree in a similar manner to any future agreements. Agreement to Execute the EZBuy Producer Participation & License Agreement Electronically

I want to execute and agree to this EZBuy Producer Participation & License Agreement online using the EZBuy website instead of executing and agreeing to this agreement with my handwritten signature. I understand that in order to agree to this and other agreements online, I will be reading various items and other needed documents on the EZBuy website instead of reviewing these items on printed paper. I understand that in order to agree to this agreement using the EZBuy website I will be clicking on buttons that say “I Accept” or “I Agree”. I am aware that every time I click on a button that says “I Accept” or “I Agree”, I intend that click to be my “electronic signature” and to have the same effect as if I had actually handwritten my signature on this agreement. I have made this decision to become an EZBuy producer using the EZBuy website at my sole discretion and I have not been influenced in my decision by Wizard Lizard LLC or any of their representatives.

The parties knowingly and expressly consent to the foregoing terms and conditions contained in the entire EZBuy Producer Participation & License Agreement.
